These Terms and Conditions ("Terms") govern access to and use of the video-clip and prompt-question resource (the "Service") provided by Topic Talk Co ("we", "us", "our"). By creating an account, subscribing to, or otherwise using the Service, you ("you", "your", "the Subscriber") agree to be bound by these Terms. If you do not agree, please do not use the Service.
The Service is intended for use by clinicians, support workers, caregivers, and other professionals or individuals providing direct support to a child or adult, and is provided for professional and personal support purposes rather than for general public redistribution.
Topic Talk Co provides an online resource that pairs selected short video clips with accompanying prompt questions, descriptions, and learning-opportunity summaries, intended to support conversation, reflection, and therapeutic or educational engagement. Content is organised into broad age groupings (young children, children, teens, and adults) and is updated and expanded from time to time.
Video content featured within the Service is provided via YouTube and other third-party platforms and is not owned by Topic Talk Co. This video content is publicly accessible and can be viewed independently of a subscription to the Service. Further detail on ownership of video content is set out in Section 5.2.
The majority of content is accessed directly through your subscription. A limited number of resources link to third-party platforms (for example, ABC iview or Disney+), which may require you to hold a separate account with that platform. These resources are clearly identified as such within the Service, and we are not responsible for the availability, content, or terms of any third-party platform.
Access to the Service is provided on a subscription basis, available as either:
Subscription fees, currency, and any applicable taxes will be displayed at the time of purchase.
All payments are processed securely through Stripe, a third-party payment processor. By subscribing, you agree to Stripe's terms of service and privacy policy in addition to these Terms. We do not directly store your full payment card details; this information is held by Stripe.
Subscriptions renew automatically at the end of each billing period (monthly or annually, as applicable) unless cancelled prior to the renewal date. You authorise us, via Stripe, to charge your chosen payment method for each renewal at the then-current subscription price, unless you cancel in accordance with Section 2.5.
We may change subscription pricing from time to time. Where a price change affects an active subscription, we will provide you with at least four (4) weeks' written notice (for example, by email or a notice within the Service) before the change takes effect, giving you sufficient time to cancel your subscription before being charged at the new price if you do not wish to continue. Continued use of the Service after a price change takes effect constitutes acceptance of the new price.
You may cancel your subscription at any time through your account settings or by contacting us. Cancellation will take effect at the end of the current billing period, and you will retain access until that date. Except where required by law, fees already paid are non-refundable, including for partial billing periods.
To use the Service you must register for an account and provide accurate, current information. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
Access to the Service is granted for a single named subscriber or the licensed number of seats agreed at purchase (where applicable to organisational subscriptions). You must notify us promptly of any unauthorised use of your account or any other breach of security.
In using the Service, you agree that you will not, and will not permit or assist any other person to:
We reserve the right to suspend or terminate, without refund, any account associated with a breach of this section, and to pursue any other remedy available to us at law.
Topic Talk Co owns, or holds a licence to use, the prompt questions, written descriptions, learning-opportunity summaries, selection and categorisation of content, branding, logos, and the overall look, feel, and compilation of the Service. Your subscription grants you a limited, non-exclusive, non-transferable licence to access and use this content for its intended supportive, educational, or therapeutic purpose during the term of your subscription. No other rights are granted.
Topic Talk Co does not own, and does not claim any rights in, the video content featured or linked within the Service. Video clips remain the property of their original creators and rights holders and are hosted on third-party platforms, including YouTube, ABC iview, Disney+, and others.
Video content sourced from YouTube is embedded or linked directly from the relevant creator's YouTube channel. This content is freely and publicly accessible on YouTube outside of, and independently from, your subscription to the Service. A subscription to the Service does not grant any exclusive access to this video content, and the same videos can be found and viewed on YouTube without a subscription.
Where video content is viewed via the Service, the view is attributed to, and any associated advertising revenue, watch time, or other metrics accrue to, the original creator's YouTube channel (or the relevant third-party platform account), not to Topic Talk Co. We do not monetise, alter, re-host, or claim ownership of this third-party video content; the Service simply selects and links to it and pairs it with our own original prompt questions and supporting materials.
Similarly, content linked to ABC iview, Disney+, or any other third-party platform remains the property of that platform and/or its content owners, and your ability to view it may depend on your own account or access arrangement with that platform, as described in Section 7.
Content is organised by broad age grouping rather than specific age, and resources in the adult category may contain mature themes or language, which will be clearly indicated. You are responsible for exercising your own professional or personal judgement in selecting content appropriate to the individual or group you are supporting. The Service is a tool to support conversation and reflection and is not a substitute for professional clinical judgement, diagnosis, or treatment.
Where a resource links to content hosted on a third-party platform (such as YouTube, ABC iview, or Disney+), that content remains owned by the relevant platform and/or content creator, and your use of that platform is governed by that platform's own terms and may require a separate account or subscription. We are not responsible for the availability, accuracy, or continued existence of any third-party content, and such content may be added, changed, or removed by the relevant platform or creator without notice to us.
We aim to keep the Service available at all times but do not guarantee uninterrupted or error-free access. We may add, remove, or modify content, and may update, suspend, or discontinue the Service, or any part of it, at any time, with reasonable notice where the change materially reduces the value of an active subscription.
To the maximum extent permitted by law, Topic Talk Co shall not be liable for any indirect, incidental, special, or consequential loss or damage arising from your use of, or inability to use, the Service, including loss of data, revenue, or professional outcomes. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.
We may suspend or terminate your access to the Service, with or without notice, if you breach these Terms, including the Prohibited Uses set out in Section 4. You may terminate your subscription at any time in accordance with Section 2.5. Upon termination, your right to access the Service will cease, and any provisions of these Terms which by their nature should survive termination (including Sections 4, 5, and 9) will continue to apply.
We may update these Terms from time to time. Where changes are material, we will provide reasonable notice, such as by email or a notice within the Service, before the changes take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
We collect and handle personal information (including account and payment-related information) in accordance with our Privacy Policy and the Privacy Act 1988 (Cth), including the Australian Privacy Principles (APPs). This includes information collected to create and manage your account, process payments via Stripe, and communicate with you about the Service. We do not sell your personal information. These Terms, and any dispute or claim arising out of or in connection with them or the Service, are governed by and construed in accordance with the laws of Australia.
